Summary of Actions Taken By the Intermodal Interchange Executive Committee (IIEC)

Below is a chronological listing of actions taken by the Intermodal Interchange Executive Committee (IIEC), a Standing Committee of the Intermodal Association of North America, responsible for the administration of the Agreement, including the processing of modifications to the UIIA.

A memo was sent to all UIIA participants on April 17, 2024 advising that the Intermodal Interchange Executive Committee (IIEC) had proposed revisions to Section I. Administration and Implementation, Item D. and Section VIII. Compliance with the Agreement, Items C., D. and E. of the Administrative Procedures of the UIIA. A thirty-day comment period was provided to all UIIA participants during which time no comments were received on the proposed revisions. Consequently, the revisions to the above sections will become effective as adopted and approved by the IIEC at its April 3, 2024 meeting.

The Intermodal Interchange Executive Committee (IIEC) at its meeting held on April 3rd/4th, 2024 voted unanimously to approve proposed revisions to the following sections of the Administrative Procedures of the UIIA:

  • Section I. Administration and Implementation, Item D.
  • Section VIII. Compliance with the Agreement, Items C., D. and E.

A thirty-day period has been initiated to provide UIIA participants the opportunity to submit comments on the proposed modifications. All comments must be received via e-mail to debbie.sasko@intermodal.org by no later than Friday, May 17, 2024.

The Intermodal Interchange Executive Committee (IIEC) at its meeting held on October 12, 2023 voted unanimously to approve a proposed revision to the Administrative Procedures of the UIIA, Section II. Review Procedures for New or Revised EP Addenda, Item C. of the UIIA. The proposed revision clarifies that for the purposes of voting on EP addenda reviews, that each mode shall have an equal number of votes.

All UIIA participants were provided with a thirty-day period to submit comments on the proposed revision. During this period, no comments were received. Consequently, the revision to the Administrative Procedures, Section II.C. will become effective on December 11, 2023.

All UIIA participants were provided a thirty-day period to submit comments on a proposed revision to the Administrative Procedures of the UIIA, Section II. Review Procedures for New or Revised EP Addenda that was approved by the Intermodal Interchange Executive Committee (IIEC) at its February 2nd meeting. The proposed revision clarifies that should an EP addendum revision decrease the economic impact on the Motor Carrier and in turn result in a benefit to the Motor Carrier, the EP requesting the revision may elect to have the change become effective earlier than the normal thirty-day effective date.

During the thirty-day period there were no comments received from UIIA participants on the proposed revision. Consequently, the revision as adopted and approved by the IIEC at its February 2nd meeting will become effective on April 3, 2023.

All UIIA participants were notified of a meeting of the Intermodal Interchange Executive Committee (IIEC) held on February 2, 2023, where the Committee voted unanimously to approve a proposed revision to the Administrative Procedures of the UIIA, Section II. Review Procedures for New or Revised EP Addenda of the UIIA. The proposed revision clarifies that should an EP addendum revision decrease the economic impact on the Motor Carrier and in turn result in a benefit to the Motor Carrier, the EP requesting the revision may elect to have the change become effective earlier than the normal thirty-day effective date.

A memo was sent to all UIIA participants on October 25, 2022 providing a thirty-day comment period on proposed modifications to the UIIA approved by the Intermodal Interchange Executive Committee (IIEC) at its October 13, 2022 meeting. During the thirty-day period, no comments were received from UIIA participants on the proposed changes. After further review, the Committee voted unanimously to move forward with the proposed revisions to the UIIA with the exception of relocating Section F.3. to Section E.1. of the UIIA. This action would have unexpected consequences related to changing the section number associated with the indemnification provision in the UIIA (Section F.4.) so the Committee rescinded this recommendation. The effective date of the modifications to the following sections of the UIIA will be January 3, 2023:

  • Section E.1. Equipment Return, Items E.1.a., new E.1.b. and E.1.c.
  • Section E.2. Lost, Stolen or Destroyed Equipment, Item E.2.d.
  • Section F. Liability, Indemnity and Insurance, Section F.3.
  • Section H. Default Dispute Resolution/Binding Arbitration Processes, Item H.2.

All UIIA participants were notified of a meeting of the Intermodal Interchange Executive Committee (IIEC) held on October 13, 2022, where the Committee voted unanimously to approve a proposed revisions to the following sections of the UIIA:

  • Section E.2. Lost, Stolen or Destroyed Equipment, Item E.2.d.

All UIIA participants were notified of a virtual meeting of the Intermodal Interchange Executive Committee (IIEC) held on June 28, 2022, where the Committee reviewed the comments submitted on the proposed modification to Section E.1.e. of the UIIA. The Committee voted unanimously to move forward with the proposed revision to Section E.1.e. of the UIIA as originally adopted at the May 3 IIEC meeting. This revision further clarifies nothing in Section E.1. precludes a Motor Carrier from being compensated or receiving additional free time when requested by an EP to return equipment to a satellite location. The proposed language is to ensure that all UIIA participants follow the standard industry practice in these situations where both parties are willing to have a reasonable discussion on whether additional compensation or free time is warranted based on the specific circumstances surrounding the return of the equipment to a satellite location. All UIIA participants were notified of a meeting of the Intermodal Interchange Executive Committee (IIEC) held on May 3, 2022, the Committee voted unanimously to approve a proposed revision to Section E.1. Equipment Return, Section E.1.e. that further clarifies nothing in Section E.1. precludes a Motor Carrier from being compensated or receiving additional free time when requested by an EP to return equipment to a satellite location. The proposed language is to ensure that all UIIA participants follow the standard industry practice in these situations where both parties are willing to have a reasonable discussion on whether additional compensation or free time is warranted based on the specific circumstances surrounding the return of the equipment to a satellite location.

A memo was sent to all UIIA participants on January 24th advising that the Intermodal Interchange Executive Committee (IIEC) had reviewed comments submitted during the thirty-day comment period on proposed revisions to the following sections of the UIIA that were approved by the IIEC at its October 13, 2021 meeting:

  • Section B. Definition of Terms, Item B.20
  • Section G.14. Notices, Item G.14.b.
  • Section F. Liability, Indemnity and Insurance, New Item F.6.e.
  • Administrative Procedures, Section VI. Prerequisites for Participation, Item VI.B.

Based on the comments received, the Committee decided to postpone the proposed modifications to Section B. Definition of Terms and Section G.14. Notices to allow further discussion on these items at the next IIEC meeting. The majority of the Committee decided to move forward with the revisions to Section F.6.e. and Section VI.B. of the Administrative Procedures and the effective date of these modifications will be February 9, 2021.

All UIIA participants were notified that at virtual meeting of the Intermodal Interchange Executive Committee (IIEC) held on February 10, 2021, the Committee voted unanimously to approve proposed revisions to the following sections of the UIIA:

  • Exhibit D, Binding Arbitration Guidelines, Items D.9, D.10 and D.11.
  • Section II. of the Administrative Procedures – Review Procedures for New/Revised Providers’ Addenda, Item B.

A thirty-day period was provided to UIIA participants to submit comments on the proposed modifications during which time no comments were received. Consequently, the IIEC voted to proceed with the modifications to the above sections as approved at the February 10, 2021 meeting. The effective date of these revisions is April 23, 2021.

All UIIA participants were notified that at a virtual meeting of the Intermodal Interchange Executive Committee (IIEC) held on February 10, 2021, the Committee voted unanimously to approve proposed revisions to the following sections of the UIIA:

  • Exhibit D, Binding Arbitration Guidelines, Items D.9, D.10 and D.11.
  • Section II. of the Administrative Procedures – Review Procedures for New/Revised Providers’ Addenda, Item B.

A thirty day period has been provided to UIIA participants to submit comments on the proposed modifications. All comments will need to be submitted by close of business March 22, 2021.

The comment period closed on December 2, 2019 and the Intermodal Interchange Executive Committee (IIEC) reviewed and considered the comments submitted by UIIA participants. Based on the IIEC’s review, they voted to move forward with the proposed revisions to the following sections of the UIIA:

Appendix I, Administrative Procedures, Section II. Review Procedures for New or Revised Providers’ Addenda

The revisions to the above sections of the UIIA will become effective on January 2020.

All UIIA participants were provided a thirty-day period to submit comments on revisions to the proposed language in Section E.2.e. of the UIIA. The comment period closed on June 5, 2019 with no comments being received. During a conference call held on June 11, 2019, the Intermodal Interchange Executive Committee (IIEC) voted to approve the revised Section E.2.e. under the UIIA. This revision introduces a requirement for EPs to notify MCs of outstanding interchanged equipment on a monthly basis. The intent of this monthly notice is for informational purposes only and any errors or omissions in the content of the data does not relieve Parties from their interchange obligations under the UIIA. The revision to add Section E.2.e. under the UIIA will become effective on July 1, 2019.

All UIIA participants were provided a thirty-day period to submit comments on proposed revisions to the UIIA that were included in a notice to UIIA participants on March 4, 2019. The comment period closed on April 3, 2019 and the Intermodal Interchange Executive Committee (IIEC) reviewed and considered the comments submitted by UIIA participants. Based on the IIEC’s review, they voted to further modified the revision to Section E.2.e. that introduces a new requirement for Equipment Providers to notify Motor Carriers of outstanding interchange equipment. The revised language has been sent to all UIIA participants on May 6, 2019 to initiate an additional thirty-day comment period that closes on June 5, 2019.

(1) that was approved by the Intermodal Interchange Executive Committee (IIEC) during its December 11, 2017 conference call. The effective date of this revision will be January 1, 2018. In addition, UIIA participants have been provided a thirty-day period to submit comments on proposed revisions to the following sections in the Agreement:

A memo was sent to all UIIA participants on March 3, 2017 advising that the Intermodal Interchange Executive Committee (IIEC) had unanimously approved proposed modifications to Section H. Default Dispute Resolution & Binding Arbitration Process (Items H.1., H.3. and H.4.), Exhibit D - Binding Arbitration Guidelines (Items D.1. and D.6.) and the UIIA Administrative Procedures (Section I. Administration & Implementation, Item D). All UIIA participants were provided with a thirty day comment period, which closed on April 3, 2017. During this period no comments were received so the proposed revisions will be implemented as unanimously adopted by the IIEC at its February 23, 2017 meeting. The effective date of the revisions will be May 1, 2017.

All UIIA participants were notified of a proposed modifications to Section H. Default Dispute Resolution and Binding Arbitration Processes, Exhibit D, Binding Arbitration Guidelines and the Administration Procedures, Section I., Item D. of the UIIA that were approved by the Intermodal Interchange Executive Committee (IIEC) during its February 23rd IIEC meeting. In accordance with Appendix I, Section V. of the UIIA, all participants are provided with a thirty day period to submit comments on the proposed revisions. All comments should be submitted via e-mail to debbie.sasko@intermodal.org by no later than close of business April 3, 2017.

All UIIA participants were notified of a proposed modifications to Section E.6.c. and Exhibit D, Item D.10 of the UIIA that were approved by the Intermodal Interchange Executive Committee (IIEC) during its September 20th IIEC meeting. In accordance with Appendix I, Section V. of the UIIA, all participants were provided with a thirty (30) day comment period on the proposed revisions and all comments received were forwarded to the Committee for review and consideration. Based on the comments received, the Committee decided to move forward with the revision to Section E.6.c., however to postpone the proposed revisions to Exhibit D, Item D.10. to allow time for further discussion on this item at the next IIEC meeting. The revision to Section E.6.c. will become effective on Jan. 1, 2017. This revision addresses when the EP bills the incorrect party, but is not notified of this information within the 60-day established billing timeframe so is precluded from billing the correct party.

At a meeting held on September 20, 2016, the Intermodal Interchange Executive Committee (IIEC) unanimously approved revisions to Section E.6.c. Free Days, Per Diem, Container Use, Chassis Use/Rental and/or Storage/Ocean Demurrage and Exhibit D of the UIIA. A notice advising UIIA participants of the proposed changes and initiating the thirty day comment period was sent out on September 30, 2016. Any comments should be submitted via e-mail to debbie.sasko@intermodal.org by no later than October 31, 2016.

The Intermodal Interchange Executive Committee (IIEC) reviewed comments received on the proposed revision to Exhibit C relating to the definition for slid flat tire damage. The Committee voted to move forward with the modification as originally adopted during its June 29, 2016, conference call. The effective date of the revision will be Sept. 19, 2016.

During a conference call on June 29, 2016, the Intermodal Interchange Executive Committee (IIEC) reviewed comments received on the proposed revision to Exhibit C relating to the definition for slid flat tire damage. The Committee decided to further modify the Exhibit C revision to reference "more than 4/32 inches" versus "5/32 inches or more" as previously proposed. Although the two statements are equivalent, the use of the reference "more than 4/32 inches" is consistent with established standards set forth in Federal Motor Carrier Safety Regulations and the AAR TOFC/COFC Interchange Rules.

All participants are given a thirty (30) day period to submit comments on this proposed revision, which will close on Friday, August 5, 2016. Comments should be submitted via e-mail to debbie.sasko@intermodal.org.

All UIIA participants were notified of a proposed modification to Exhibit C of the UIIA that was unanimously approved by the Intermodal Interchange Executive Committee (IIEC) during its May 4th meeting. The proposed revision modifies the definition for slid flat tire repairs so that it is consistent with the Minimum Periodic Inspection Standards set forth in Chapter III., Subchapter B, Appendix G of the Federal Motor Carrier Safety Regulations. All participants are given a thirty (30) day period to submit comments on this proposed revision, which will close on Friday, June 17, 2016. All UIIA participants were notified of a modification to Section H.1. Default Dispute Resolution and Binding Arbitration Process approved by the Intermodal Interchange Executive Committee (IIEC) during its February 25th conference call and were provided with a thirty (30) day period to submit comments on this proposed revision. During this period there were no comments received that opposed the modification to Section H.1. Therefore, the revision to Section H.1. will become effective on June 13, 2016, as unanimously approved by the IIEC.

In addition to the revision to Section H.1. UIIA participants had been previously notified of several other modifications to the UIIA that were unanimously approved by the IIEC to address street interchanges under the Agreement. The effective date of these revisions had been postponed to allow time for the development of a street interchange web portal and mobile application that would be utilized by UIIA participants to facilitate these types of transactions. The development of the street interchange application has been completed and the system is currently being beta tested. Consequently, the revisions to the following sections of the UIIIA relating to street interchanges will also become effective on June 13, 2016:

  • Section B., Definition of Terms, Item B.18. Interchange Period and B.22. Per Diem
  • Section D.3. — Equipment Condition, Item D.3.d.
  • Section E.3. — Damage to Equipment, Item E.3.c.(1)
  • Section F.3. — Liability , Indemnity and Insurance

In accordance with Appendix I, Section V, of the UIIA, all participants were notified of the thirty (30) day comment period on proposed modifications to Section H.1. Default Dispute Resolution and Binding Arbitration Process of the UIIA that were unanimously approved by the Intermodal Interchange Executive Committee (IIEC) during a conference call held on February 25, 2016. The proposed modification clarifies that a Motor Carrier must include the reason for its disagreement with an EP’s invoice in its dispute. In addition, the revision also clarifies what constitutes a valid “response” from the Equipment Provider to a Motor Carrier’s dispute, which is the Equipment Provider’s acceptance or denial of the dispute.

All UIIA participants were notified of the effective date of revisions to Section E.1. Equipment Return of the UIIA that were approved by the Intermodal Interchange Executive Committee (IIEC). The revisions to Section E.1. Equipment Return had been postponed to allow time for the development of the IANA Equipment Return Location Directory, which is now completed and resides on the UIIA website. The new online directory, as referenced in the new Section E.1.b., provides a list of EP pre-designated satellite return locations for when the Equipment Provider requests that the Motor Carrier return equipment to a location other than the original point of interchange. The effective of the revisions to Section E.1. Equipment will be February 8, 2016.

All UIIA participants were notified of changes approved by the Intermodal Interchange Executive Committee (IIEC) during its July 7th and July 8th meeting on July 17th and were provided with a thirty (30) day period to submit comments on these proposed revisions. Taking into consideration the comments received, the IIEC voted to further revise the modifications to the following sections:

  • Section B., Definition of Terms, Item B.18. Interchange Period
  • Section D.3. — Equipment Condition, Item D.3.d.
  • Section E.1. — Equipment Return, Item E.1.b.

All UIIA participants are provided an additional thirty (30) day period to submit comments on the additional revisions to the above provisions. Please note that the IIEC decided to move forward with the other modifications that were included in the July 17, 2015 notice. The effective date of these revisions will be determined once the thirty (30) day comment period on the clarifications made to Sections B.18, D.3.d. and E.1.b. closes.

No comments were received from participants on the proposed modifications except in regards to the revision to Exhibit A. Comments were received from 152 Motor Carriers in opposition to the proposed change to Exhibit A that would have required the Motor Carrier to visually check as part of its pre-trip inspection that the registration was in the registration holder and that it matched the license plate. Based on the comments submitted by UIIA participants, the Committee voted to rescind the proposed changes to Exhibit A, but move forward with the revisions to Section B. Definition of Terms, Section D.3. Equipment Condition, and Section E.5.a. Disposal of Dunnage. The revisions to these sections will be effective June 8, 2015.

The thirty (30) day comment period on the proposed revisions to Section E.3.c. and E.3.c. (3) closed on December 8, 2014. All comments received were forwarded to the Intermodal Interchange Executive Committee (IIEC) for review and consideration. On a conference call held on December 17th, the Committee unanimously approved moving forward with these revisions. The revision modifies the UIIA to reduce the billing time frame for OTR repairs that occur during the interchange period by placing a reciprocal 90-day billing time frame for OTR repairs in the base Agreement and allows the Equipment Provider to adopt as low as a 45-day billing time frame for OTR repairs within its addendum, as long as it is applicable to both the Motor Carrier and the Equipment Provider. The effective date of this revision will be January 26, 2015.

The IIEC unanimously approved a revision to Section D.3.d.(3) Equipment Condition and Exhibit C, Interior — Contamination in the UIIA, at its meeting held on July 31, 2014. The proposed revision removes all references to the AAR TOFC/COFC Interchange Rules. The Committee determined that the reference to this extrinsic document was no longer necessary as the UIIA provisions including the Exhibits can stand on their own. All UIIA participants were notified on August 8, 2014, of the proposed modification and given a 30-day period to submit comments on the revised language. No comments were received during this period so the proposed modification will become effective October 1, 2014.

The IIEC unanimously approved a revision to Section D.3.d.(3) Equipment Condition and Exhibit C, Interior — Contamination in the UIIA at its meeting held on July 31, 2014. The proposed revision removes all references to the AAR TOFC/COFC Interchange Rules. The Committee determined that the reference to this extrinsic document was no longer necessary as the UIIA provisions including the Exhibits can stand on their own. All UIIA participants were notified on Aug. 8, 2014, of the proposed modification and given a 30-day period to submit comments on the revised language. The IIEC approved a revision to the Participating Party signature page, Section E.1. and Section G.1 in the UIIA at its meeting held on April 30, 2014. The proposed modification was to clarify the type of bilateral agreements referenced in the UIIA as "bilateral equipment interchange agreements." The proposed revision was forwarded to all participants for a 30-day comment period, which closed on July 7, 2014. No comments were received so the modifications will be implemented as unanimously adopted by the Committee at its April 30th meeting. The revision will become effective on August 1, 2014.

The IIEC unanimously approved a revision to the Participating Party signature page, Section E.1. Equipment Use and Section G.1. Entire Agreement in the UIIA at its meeting held on April 30, 2014. The proposed revision restates the current references to bilateral agreement as "bilateral equipment interchange agreements” to clarify which types of bilateral agreements are referenced under the UIIA. All UIIA participants were notified on June 6, 2014 of the proposed modification and given a 30-day period to submit comments on the revised language. All comments will be forwarded to the Intermodal Interchange Executive Committee (IIEC) for review and consideration at the close of the comment period.

The IIEC approved a revision to Section B. Definition of Terms, Item 8. Damage in the UIIA at its meeting held on November 18, 2013. The IIEC has decided to move forward with the revision to Section B., Item 8. Damage as it was unanimously adopted by the Committee at its November 18th meeting. The revision will become effective on February 10, 2014.

The IIEC approved a modification under Section B. Definition of Terms, Item 8. Damage at its meeting held on November 18, 2013. The proposed revision is to further clarify the meaning of the term "Damage" under the UIIA and has been forwarded to all UIIA participants for a 30-day comment period, which closes on January 4, 2014.

The 30-day comment period on the proposed modifications to Section E.3.c.(4) and Item D.8. closed and the one comment received from a participating UIIA Equipment Provider was forwarded to the Intermodal Interchange Executive Committee (IIEC) for consideration. The IIEC reviewed this comment and has decided to move forward and implement these modifications to the UIIA, as unanimously adopted during the June 11th IIEC conference call. In addition, the modifications previously approved by the Committee at its April 3rd IIEC meeting and received no comments during the initial 30-day comment period will also be implemented. The effective date of these revisions will be August 26, 2013.

Comments received from UIIA participants on the proposed modifications to the UIIA outlined in a memo, dated April 15, 2013, were forwarded to the Intermodal Interchange Executive Committee (IIEC) for review and consideration. Comments were submitted by UIIA Motor Carrier participants on two of the proposed revisions, Section E.3.c.(4) and Item D.8. A conference call was held on June 11, 2013 and the Committee unanimously voted to revise these two provisions to address the concerns raised in the comments received. The revised language has been forwarded to all UIIA participants for a 30-day comment period, which closes on July 19, 2013.
